Terms and Conditions of Sale

Article 1: Purpose
These Terms and Conditions of Sale govern the video and photographic content creation, direction, and production services offered by the Iwaly micro-enterprise (Sylvain Tesseyre) to its clients.
Article 2: Quotes and Orders
Every service is subject to a personalized quote, developed based on the client's specifications. Acceptance of the quote is formalized by its signature, accompanied by the mention "Bon pour accord" (Good for agreement). This validation contractually binds the client and implies full acceptance of these Terms and Conditions.
Article 3: Pricing and Payment Terms
Prices are indicated in euros. In accordance with Article 293 B of the French General Tax Code (micro-enterprise status), the invoiced amounts are net (VAT non-applicable). To validate the order and schedule the shoot, a 30% deposit is required. Payment of the balance is made upon receipt of the final invoice, by bank transfer, within 30 days.
Article 4: Production and Delivery
Iwaly commits to applying all its technical and artistic expertise to perform the service. Delivery times for final files (videos, photos) are jointly defined in the quote. Files are delivered to the client via a secure download link. Delivery includes the possibility of making 4 rounds of minor revisions to the final edit (unless different provisions are described in the specific conditions of the contract).
Article 5: Aerial drone capture services
Feasibility and Regulations: Aerial photography and videography by drone are subject to current European and national regulations (EASA / DGAC). Any service is conditional upon a prior feasibility study of the flight zones (controlled airspaces, restricted zones such as RTBA, ZRT, national parks, etc.). Images Iwaly reserves the right to refuse a service if flight authorizations cannot be obtained or if the zone presents a regulatory risk.
Authority of the Remote Pilot and Security: The safety of property and people (uninvolved third parties and involved persons) is the absolute priority. During the mission, a third-party exclusion zone is established. The Remote Pilot in command is the sole decision-maker regarding the feasibility of the flight at any given time. He has the final authority to cancel, postpone, or interrupt a flight if:
- Weather conditions deteriorate (wind beyond limits, rain, thunderstorm, etc.).
- Ground safety conditions are no longer guaranteed (intrusion of a third party into the safety perimeter, non-compliance with instructions by the client or the public).
In the event that the interruption or cancellation is due to the client's failure to comply with safety instructions, the service will be billed in full.
Article 6: Intellectual Property and Broadcasting Rights
The created works remain the intellectual property of Sylvain Tesseyre. Full payment of the invoice results in the transfer of exploitation and broadcasting rights to the client, according to the terms, media, and duration specified in the quote. Iwaly retains the right to use excerpts of the productions to enrich its own portfolio and promote its activity on its communication channels (website, social networks), subject to the client's formal agreement.
Article 7: Cancellation or Postponement
In the event of modification or cancellation of the service initiated by the client, the deposit paid remains acquired by Iwaly as compensation for the time invested and equipment reservation. In case of force majeure requiring the postponement of the shoot, both parties commit to finding a new date by mutual agreement.
Article 8: Image Rights and Privacy
The client undertakes to obtain the written agreement of all persons filmed or photographed during the service, as well as the necessary authorizations to film in private locations.
Specifically for drone flights, the Client undertakes to obtain explicit agreements (written authorizations) from the owners of neighboring lands if the capture requires flying over them or if their private properties are clearly identifiable in the image. Similarly, the Client is responsible for obtaining image rights for any physical person (third party) present at the shooting location. Failing explicit agreement, Images Iwaly will proceed to blur faces, license plates, or private elements during post-production. These blurring tasks may be subject to additional billing if the Client had not anticipated the eviction of third parties during the shoot.
Article 9: Late Payment
Any delay in payment on the due date indicated on the invoice results in the enforceability of late payment penalties at a rate equal to three times the legal interest rate in force. For professional clients, a fixed compensation for recovery costs of 40 euros applies additionally.
Article 10: Right of Withdrawal
As audiovisual works are custom-made according to the buyer's specifications, the standard right of withdrawal gives way to the execution of the order after quote validation, in accordance with the provisions of Article L221-28 of the French Consumer Code.
Article 11: Disputes and Competent Jurisdiction
These conditions are subject to French law. In the event of a dispute, the parties will prioritize the search for an amicable solution. Failing an agreement, the Versailles Commercial Court will be the sole competent jurisdiction.
